How to open a business in Turkey.
Registration of a legal entity
STEP 5further, in order not to waste our precious time, we went in a “noisy crowd” (accountant, partner, translator) to the notary's office. In the notary's office, we made signature samples for the bank and other organizations. In general, this is important and more than once it will come in handy for you (imza sirkuleri- probably correctly translated as "subscription circular", but this is not accurate). Why do I translate it as a “subscription circular”, but because in the future, in order to prove that you are the owner of the company, it is enough to present this document and all questions will disappear, wherever you are in Turkey.
We also made a power of attorney for an accountant to provide authority to represent our company in the tax, CCI, SCC, etc., etc. This is what you need to decide when communicating with the accountant that you trust him. That's why it's important that your accountant is likeable and trustworthy. Of course, you can not give a broad power of attorney, but then you yourself will have to run around these institutions and periodically collect documents, resolve issues personally. We gave a power of attorney to represent our interests (probably) in all state institutions, it seems they didn’t give it only to the bank 😊.
In general, you decide. And yes, do not forget the checks, these are already regular expenses of the company. Take them to cost.
STEP 6so at this point, we sort of have a registration, but that's not all. We spent three days and were only halfway there. Further, the paths of the development of the event may be different, they must be considered individually, so I will tell you how it was with us.
I wrote above that when submitting documents, in the office of the accountant, we registered 4 types of activities İNŞAAT, EMLAK, SİTE YONETIM, TURİZM , tourism). In fact, the choice was made much earlier, even 3 months in advance. That is, three months ago, we decided on the scope of our activities, found a room for rent, discussed the term and cost of the lease.
IMPORTANT: to open a company in Turkey, you need a lease agreement for premises. Without it, you will not register a company, this address is used to register a company. Since the lease of the premises is made even before the opening of the company, the lease of the premises must be concluded for one of the founders.
Next, we made repairs in the room, bought air conditioners, furnished our room with furniture and appliances. In my opinion, we did part of this in vain, why I think so, I will write later (if I do not forget).
We are a little off topic, but this is also important and is part of the whole, in my opinion.
The next step we went to the bank and opened two bank accounts for our company. We chose Ziraat one bank, and Akbank the second.
Why them? Yes, they just seemed to me the most convenient. I did not make a special analysis of banks at that moment, I do not think that banks are fundamentally different from each other.
Why two banks? Because one state, and the second commercial.
What is it for? But because experience shows that the state does not mean the best in speed of service, and in general I would say the worst, but bills are also needed there and I will explain why.
The fact is that commercial banks in Turkey may not make all payments. As a rule, this is associated with some government fees, taxes and duties. And in the case of transfers to / from abroad sometimes, a state-owned bank will work better than a commercial one. Therefore, in order for us to have flexibility, I made such a decision, although in most cases we still work with an account in a commercial bank. But the state bank was also useful to us.
